The Bylaws Committee is inviting all to come and hear the presentation of the proposed updates to our Bylaws and Articles of Association. The Special Meeting, affirmed in writing by three members, is scheduled for Sunday, March 29, 2015, at 5:00 PM. There will be a brief presentation about the process and the purpose of the Bylaws Committee.
Essentially, the Committee was commissioned by the President to look into better job descriptions of the Officers, to better identify areas of responsibility for Board Members, and to create a more transparent governing process. The first meeting the Committee chose to review all of the Bylaws. The Committee met faithfully almost every week for eight months to write a seven page document. No votes were ever taken at any meeting – we operated with the idea of consensus. Nothing is in the proposed Bylaws that any of us cannot support.
The general outcome of the process is a redefining of the governing body of the Alano Club. Emphasis has been placed on the Board Responsibilities. The Board is being given great responsibility and the authority to fulfill their duties. We believe the new governance will better protect our mission and our assets. Another outcome is a more transparent process to the general public. We are attempting to join the larger public health community in and around St. Joseph.
